1. About these terms

eSimDistributor (esimdistributor.com) is a trading name of eSimGenie Limited, a company incorporated in Ireland (company number 789399), registered office 2 Stockwell, Sandyford Road, Dublin 16, D16 X8F2, Ireland (“we”, “us”). eSimGenie Limited also operates eSimNest.

These terms form a contract between us and the business that opens an account (“you”). They cover the website, the reseller console, the Reseller API and webhooks, and every eSIM data plan you buy through them (together, the “Service”). Our Privacy Policy and Data Processing Addendum form part of these terms.

The Service is for businesses only. By creating an account you confirm that you are acting for a business and that you have authority to bind it. Consumer protection rules that apply only to consumers do not apply to this contract.

2. Your account

  • You must give accurate company and contact details, verify your email address and keep them up to date.
  • You are responsible for everything done through your account, including by team members you invite and by anyone using your API keys.
  • Keep passwords and API keys secret. If you think a key or login has been exposed, revoke it in the console and tell us straight away.
  • We may ask for evidence of your identity or business, and we may refuse, limit or close an account where we cannot verify it or suspect fraud.
  • One business may hold more than one account only with our agreement. Accounts may not be sold or transferred.

3. Wholesale prices

  • Wholesale prices are shown in US dollars in the console and through the API. They exclude any taxes that apply to you.
  • Prices follow the live retail prices on eSimNest and may change at any time without notice, including how far below retail they sit. We do not promise a fixed discount, a fixed price or a price for any future period.
  • Each order is charged at the wholesale price shown when it is placed. Later price changes do not affect orders already placed.
  • If a price is plainly wrong because of a technical error, we may cancel the affected orders and credit your balance in full.

4. Prepaid balance

Orders are paid from a prepaid balance held in your account in US dollars.

  • Top-ups. The minimum top-up is US$100. Top-ups are processed by our payment provider (currently Revolut). We issue an invoice for every top-up.
  • Auto top-up. If you turn it on, you authorise us to charge your saved payment method for the amount you set whenever your balance falls below your threshold. You can turn it off at any time. If a charge fails three times in a row we turn auto top-up off and tell you. We are not responsible for orders that fail because your balance ran out.
  • Expiry. Each top-up expires 12 months after the date it was added. Orders use the oldest unexpired funds first. We send reminders before funds expire. Expired funds are forfeited.
  • No cash refunds. Your balance can only be used to buy eSIMs through the Service. It is not a deposit, earns no interest and cannot be withdrawn, refunded to your payment method or transferred to another account, except where the law requires otherwise.
  • Credits. When an order fails or we accept a refund, we credit your balance, not your payment method. A credit expires 12 months after it is added.
  • Chargebacks. If a top-up is reversed or disputed, we may deduct the amount from your balance and suspend ordering until it is resolved.

5. Orders and delivery

  • An order is accepted when the console or API returns it as placed. eSIMs are delivered electronically as a QR code and activation details.
  • If an eSIM cannot be provisioned, the order fails and its cost is credited to your balance.
  • Delivered eSIMs cannot be cancelled. We will consider a refund to your balance only where an eSIM has not been installed or used and our network supplier accepts the cancellation. Requests must reach us within 30 days of the order.
  • Where a plan does not work as described because of a fault on our side or our supplier's, we will replace it or credit your balance, at our choice.
  • Coverage, speed and network availability depend on local mobile operators and can change. Plan pages describe typical service, not a guarantee. eSIMs only work on compatible, unlocked devices.
  • Data allowances and validity periods are set by each plan. Unused data is not refundable after the plan starts.

6. Selling to your customers

  • You sell in your own name, at prices you set, to customers you are responsible for. Nothing in these terms makes you our agent, partner or employee.
  • You are responsible for your contracts with your customers, including first-line customer support, refunds you offer, consumer law (for example the rules on digital content and the right of withdrawal where they apply), tax and VAT on your sales, and lawful marketing.
  • Describe plans accurately. Do not promise coverage, speeds or features that the plan does not offer.
  • Give your customers the installation and usage information that comes with each eSIM. We support you, and you support them.

7. Branding and the storefront template

  • You may sell eSIMs under your own brand. Do not suggest that eSimDistributor, eSimNest or any network operator endorses your business.
  • Branding you upload (logo, colours, support details) must belong to you or be licensed to you. You grant us a licence to use it to deliver eSIMs and emails for you.
  • The storefront template is open-source software under the MIT licence and is provided as is. If you deploy it, you are the operator of that shop: you are responsible for its hosting account, your own payment provider account, its legal pages, and keeping your API key secret.

8. API and webhooks

  • Use the API only as documented. We may apply rate limits and block traffic that harms the Service.
  • Do not scrape the website or console, probe for vulnerabilities, or reverse engineer the Service. Report security issues to support@esimdistributor.com.
  • We aim to give at least 30 days' notice of breaking changes to the API, except where a change is needed urgently for security or legal reasons.
  • Webhook endpoints must be yours. You are responsible for verifying webhook signatures before acting on them.

9. Acceptable use

You must not use the Service, or let your customers use eSIMs bought through it, to:

  • commit fraud, launder money or use stolen payment details;
  • sell to, or for the benefit of, anyone subject to EU, UN, UK or US sanctions, or in breach of export controls;
  • send spam, run SIM farms or bulk messaging, or carry out other activity that local operators prohibit;
  • put eSIMs into devices or uses that the plan does not allow, such as machine-to-machine or IoT use, unless the plan says it is permitted;
  • break any law, or infringe the rights of others.

We may suspend orders or eSIMs that we reasonably believe are linked to any of these.

10. Data protection

We process personal data about you and your team as a controller, as described in our Privacy Policy. When you send us your customers' details (for example an email address to deliver an eSIM), we process them for you as a processor under the Data Processing Addendum. You must have a lawful basis to share that data with us and must tell your customers how it is used.

11. Confidentiality

Each party will keep the other's non-public information confidential and use it only for this contract. This includes your API keys and account data, and any non-public commercial terms we agree with you. Public wholesale prices on our website are not confidential.

12. Intellectual property

We and our licensors own the Service, the website content, our names and logos. We give you a limited, non-exclusive, non-transferable right to use the Service while your account is open. You may describe plans and use plan images we provide to sell them. You keep ownership of your own brand and content.

13. Service and warranties

We provide the Service with reasonable skill and care, but it is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, or that any network will be available in any place at any time. To the extent the law allows, we exclude all warranties and conditions not set out in these terms.

14. Limitation of liability

  • Our total liability to you for all claims arising in any 12-month period is limited to the total amount of top-ups you paid us in the 12 months before the event giving rise to the first claim.
  • We are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, even if it was foreseeable.
  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

15. Indemnity

You will compensate us for losses and reasonable costs arising from claims by your customers or others about your sales, marketing, pricing, customer support or data handling, or from your breach of these terms or of the law.

16. Suspension and termination

  • You may close your account at any time by emailing support@esimdistributor.com. Please use up your balance first.
  • We may suspend or close your account, with or without notice, if you breach these terms, if we suspect fraud or a security risk, if we are required to by law or by a supplier, or if your account has been inactive for more than 12 months with no balance. We may also close any account on 30 days' notice for any reason.
  • When an account closes, any remaining balance is forfeited. If we close your account for a reason other than your breach, we may, at our discretion, refund part of the unexpired balance.
  • eSIMs already delivered keep working for the rest of their plan unless they were suspended for misuse.
  • Sections that by their nature should survive (including balance, liability, indemnity and governing law) continue after the account closes.

17. Changes to these terms

We may update these terms. We will give at least 30 days' notice of material changes by email or in the console. If you keep using the Service after a change takes effect, you accept it. If you do not agree, you may close your account before that date. Changes needed for legal or security reasons may take effect sooner.

18. Governing law and disputes

These terms, and any dispute or claim arising from them, are governed by the laws of Ireland. Before starting proceedings, each party will try in good faith to settle a dispute by negotiation for at least 30 days after written notice. The courts of Ireland have exclusive jurisdiction.

19. General

  • These terms are the entire agreement between us about the Service and replace any earlier discussions.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours to a company in our group or to a buyer of the business.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control, including network outages at mobile operators.
  • If any part of these terms is found unenforceable, the rest still applies.
  • We send notices to the email address on your account. You send notices to support@esimdistributor.com.
  • These terms are written in English. If a translation differs, the English version applies.
